These Terms of Use ("Terms") govern your access to and use of the CMSPC website, software, applications, platform, APIs, and related services (collectively, the "Services") provided by CMSPC ("CMSPC", "we", "us", or "our").
CMSPC is an AI-powered social media content management and automation platform that provides tools for content creation, content optimization, media management, scheduling, publishing, marketing automation, campaign management, social media analytics, team collaboration, and related services across supported social media platforms.
By creating an account, purchasing a subscription, accessing, or using the Services, you agree to these Terms. If you do not agree to these Terms, you must not use the Services.
If you use the Services on behalf of a company, organization, agency, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.
1. Eligibility
You must be legally capable of entering into a binding agreement under applicable law to use the Services.
By using CMSPC, you represent and warrant that:
You meet the minimum age required by applicable law;
The information you provide is accurate and complete;
You have authority to enter into these Terms;
You will comply with all applicable laws and regulations;
You will comply with the policies and terms of third-party platforms connected to CMSPC;
You will use the Services only for lawful and legitimate purposes.
If you use CMSPC on behalf of an organization, you are responsible for ensuring that your use of the Services is authorized by that organization.
2. The CMSPC Services
CMSPC provides a collection of tools designed to help users manage and automate social media content and marketing workflows.
Depending on your subscription plan and available features, the Services may include:

CMSPC may provide AI-powered features including:

AI caption generation;

Campaign creation assistance;

Other AI-powered content and marketing features.
2.2 Content Management
The Services may allow you to:
Create and manage posts;
Save drafts;
Organize media;
Upload images and videos;
Edit media;
Import content using CSV or other supported formats;
Manage bulk posts;
Organize content using labels or other organizational tools.
2.3 Scheduling and Publishing
CMSPC may allow you to:
Schedule individual posts;
Schedule bulk content;
Manage publishing queues;
Use calendar-based planning;
Publish content to connected social media accounts;
Manage campaign publishing;
Configure automated publishing workflows;
Use recommended or optimized publishing times.
2.4 Automation
Depending on your plan, CMSPC may provide automation functionality such as:
RSS-based content automation;
Evergreen content loops;
Automated publishing;
Webhooks;
Automation API keys;
Campaign workflows;
Other automated content operations.
2.5 Team and Workspace Features
CMSPC may provide functionality for businesses, teams, agencies, and other organizations, including:
Multiple workspaces;
Groups;
Team members;
User roles;
Permissions;
Connected accounts;
Shared content and workflows;
Other collaboration features.
2.6 Analytics and Reporting
CMSPC may provide analytics, reporting, and performance information relating to your content and connected social media accounts.
Analytics are provided for informational and operational purposes and may depend on data supplied by third-party platforms.
3. Changes to the Services
CMSPC is continuously developing its Services.
We may add, modify, replace, suspend, or discontinue features, integrations, tools, or functionality at any time.
This may include changes to:
AI features;
Supported social networks;
Publishing functionality;
API integrations;
Automation features;
Usage limits;
Storage limits;
Team functionality;
Analytics;
Subscription plans;
Pricing;
Trial periods;
Third-party integrations.
Where required by applicable law, we will provide reasonable notice of material changes.
CMSPC does not guarantee that any particular feature, integration, or third-party platform will remain available indefinitely.
4. User Accounts
Certain Services require an account.
You agree to provide accurate, current, and complete information when creating your account and to keep such information updated.
You are responsible for:
Maintaining the confidentiality of your login credentials;
Protecting access to your account;
All activity conducted through your account;
Managing users authorized to access your account;
Maintaining appropriate permissions for team members;
Promptly notifying CMSPC of suspected unauthorized access.
You may not sell, transfer, rent, or otherwise provide unauthorized access to your CMSPC account.
Where CMSPC provides team, workspace, or organization functionality, the account administrator may be responsible for managing access and permissions for other users.
5. Workspaces, Teams, and Permissions
CMSPC may allow users to create multiple workspaces and invite team members.
If you invite another person to a workspace, you are responsible for ensuring that the person has appropriate authorization to access the workspace and its content.
Workspace administrators may have the ability to:
Invite or remove users;
Assign roles;
Manage permissions;
Manage connected social accounts;
Manage content;
Manage campaigns;
Manage publishing workflows.
CMSPC is not responsible for actions taken by users who have been granted access by your organization or workspace administrator.
You are responsible for establishing appropriate internal access controls.
6. Connected Social Media Accounts
CMSPC may allow you to connect social media accounts, pages, profiles, business accounts, or other resources operated by third-party platforms.
Supported platforms may include, depending on the Services available at the relevant time:
Facebook;
Instagram;
TikTok;
LinkedIn;
X;
Other supported social networks.
When you connect a third-party account, you authorize CMSPC to access and use the permissions granted through the applicable platform's authorization system and APIs.
Depending on the platform and permissions granted, CMSPC may retrieve information from or perform actions on your connected account.
You represent and warrant that you:
Own or are authorized to manage the connected account;
Have authority to grant CMSPC the relevant permissions;
Will comply with the applicable platform's terms and policies;
Will not use CMSPC to circumvent platform restrictions.
7. Third-Party Platform Policies
CMSPC is an independent service and is not responsible for the policies, decisions, availability, or actions of third-party social media platforms.
Your use of connected platforms remains subject to their respective:
Terms of service;
Privacy policies;
Developer policies;
API policies;
Community standards;
Advertising policies;
Content policies;
Automation rules.
Third-party platforms may change, restrict, suspend, or discontinue their APIs, permissions, features, or services at any time.
As a result, CMSPC cannot guarantee that a particular social network integration will always function or remain available.
CMSPC is not responsible for:
Social media account suspension;
Account restrictions;
Content removal;
API access revocation;
Reduced reach or engagement;
Platform policy enforcement;
Changes to third-party algorithms;
Changes to platform functionality.
8. Automated Publishing
CMSPC may provide automated publishing and scheduling functionality.
You acknowledge that automation may cause content to be published automatically according to the schedules, queues, campaigns, workflows, or rules configured by you or your authorized users.
Before activating an automated workflow, you are responsible for reviewing:
Content;
Publishing dates;
Publishing times;
Target accounts;
Campaign settings;
Automation rules;
Recurring schedules;
Evergreen settings;
Other relevant configuration.
You are solely responsible for the consequences of content being automatically published based on configurations made through your account.
CMSPC does not guarantee that an automated publishing action will always succeed.
A publishing operation may fail because of:
Third-party API limitations;
Platform outages;
Invalid credentials;
Expired authorization;
Content restrictions;
Rate limits;
Account restrictions;
Network failures;
Technical errors;
Other circumstances beyond CMSPC's reasonable control.
9. RSS, Evergreen, and Recurring Automation
CMSPC may provide RSS automation, evergreen content loops, recurring publishing, or similar functionality.
You are responsible for ensuring that the sources, feeds, content, and publishing rules used in these automations are lawful and appropriate.
You must not configure automated workflows to distribute:
Spam;
Copyright-infringing material;
Misleading content;
Illegal content;
Malicious content;
Unsolicited communications;
Content that violates third-party platform policies.
CMSPC may suspend or disable an automation if we reasonably believe it creates legal, security, operational, or platform-policy risks.
10. Bulk Publishing and CSV Imports
CMSPC may provide bulk publishing and CSV import functionality.
You are solely responsible for reviewing imported data and ensuring that:
Content is accurate;
Publishing dates are correct;
Target accounts are correct;
Media references are valid;
Content complies with applicable laws;
Content complies with third-party platform policies.
CMSPC is not responsible for errors resulting from incorrect, incomplete, malformed, or improperly formatted user-provided data.
11. AI-Powered Features
CMSPC may use artificial intelligence and machine learning technologies to generate, transform, analyze, classify, recommend, or otherwise process content.
AI features may include text generation, rewriting, content optimization, image generation, video-related functionality, campaign assistance, trend analysis, competitor analysis, content review, and other AI-powered features.
AI output is generated algorithmically and may contain:
Errors;
Inaccurate information;
Outdated information;
Inappropriate content;
Bias;
Missing context;
Unexpected results;
Similarities to existing content.
AI-generated content may not be unique or suitable for every purpose.
You are responsible for reviewing and validating AI-generated output before using or publishing it.
CMSPC does not guarantee that AI-generated content:
Is factually accurate;
Is legally compliant;
Is original;
Does not infringe third-party rights;
Complies with the policies of a social media platform;
Is suitable for a particular audience;
Will produce a particular marketing result.
You should not rely on AI output as professional legal, financial, medical, or other regulated advice.
12. AI Content and Third-Party AI Providers
Some AI functionality may be provided through third-party artificial intelligence models, APIs, or infrastructure.
The availability, performance, output, and behavior of AI functionality may depend on third-party services.
AI providers may modify their models, policies, pricing, availability, or technical requirements.
CMSPC may change or replace AI providers where reasonably necessary to maintain or improve the Services.
You acknowledge that AI processing may be subject to additional limitations or policies applicable to the relevant AI service.
13. User Content
You may submit, upload, create, generate, store, import, or otherwise provide content through CMSPC ("User Content").
User Content may include:
Text;
Captions;
Images;
Videos;
Audio;
Documents;
Social media posts;
Marketing materials;
Campaign materials;
AI prompts;
RSS content;
Other materials.
You retain ownership of your User Content.
You grant CMSPC a limited, worldwide, non-exclusive license to host, store, reproduce, transmit, process, modify, display, and otherwise use your User Content solely as reasonably necessary to provide, maintain, secure, operate, and improve the Services, or as otherwise permitted by these Terms and our Privacy Policy.
This license ends when the relevant User Content is deleted, except to the extent retention is reasonably necessary for legal compliance, security, backups, dispute resolution, or legitimate business purposes.
14. User Content Representations
You represent and warrant that you have all rights, permissions, licenses, and consents necessary to use and process your User Content through CMSPC.
You are responsible for ensuring that your User Content does not:
Violate applicable laws;
Infringe copyright or trademark rights;
Violate privacy or publicity rights;
Contain unlawful material;
Contain malicious code;
Violate third-party platform policies;
Mislead or defraud users;
Violate applicable advertising or marketing regulations.
CMSPC does not claim ownership of your User Content.
15. Prohibited Activities
You may not use CMSPC to:
Violate applicable laws or regulations;
Infringe intellectual property or other third-party rights;
Commit fraud or facilitate fraudulent activity;
Impersonate another person or organization;
Distribute malware, viruses, or malicious code;
Send spam or unsolicited communications;
Conduct deceptive marketing;
Manipulate social media metrics through prohibited methods;
Circumvent social media platform restrictions;
Create accounts or content for abusive purposes;
Harass, threaten, or unlawfully discriminate against others;
Publish unlawful or harmful content;
Scrape or extract CMSPC data without authorization;
Attempt unauthorized access to CMSPC systems;
Circumvent usage limits or technical restrictions;
Reverse engineer the Services except where prohibited by applicable law;
Resell or sublicense CMSPC without authorization;
Abuse API keys, webhooks, or automation functionality;
Use automation to distribute content in violation of third-party platform rules;
Use CMSPC to facilitate illegal activity.
CMSPC reserves the right to investigate suspected violations.
16. API Keys, Webhooks, and Automation Credentials
Certain CMSPC features may provide API keys, webhook functionality, or other credentials used to automate actions.
You are responsible for protecting these credentials.
You must not:
Publicly disclose private API keys;
Store credentials in publicly accessible repositories;
Share credentials with unauthorized persons;
Use credentials to circumvent CMSPC limits;
Use API access to attack, overload, or disrupt CMSPC infrastructure.
CMSPC may revoke, rotate, suspend, or restrict API credentials if we reasonably believe they have been compromised, misused, or used in violation of these Terms.
17. Intellectual Property
CMSPC and its licensors retain all rights, title, and interest in the Services and CMSPC intellectual property.
This includes, without limitation:
Software;
Source code;
Platform architecture;
User interface;
Designs;
Logos;
Trademarks;
Documentation;
Proprietary technology;
CMSPC branding;
Features and functionality.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Services.
These Terms do not transfer ownership of CMSPC intellectual property to you.
18. Feedback
If you provide CMSPC with suggestions, ideas, recommendations, feature requests, bug reports, or other feedback, you grant CMSPC the right to use that feedback without restriction or compensation.
You agree that CMSPC may incorporate such feedback into its products and Services.
19. Subscription Plans
CMSPC may offer multiple subscription types, which may include:
Monthly plans;
Annual plans;
Lifetime plans;
Free plans;
Trial plans;
Promotional plans;
Other plans introduced from time to time.
The features, usage limits, storage limits, AI allowances, number of social accounts, team members, workspaces, automation functionality, and other benefits associated with each plan are determined by the applicable plan description.
Your access to particular features is subject to the plan associated with your account.
20. Free Trials
CMSPC may offer free trials for selected plans or features.
The duration and terms of a trial may vary depending on the plan and promotional offer.
Unless otherwise stated, CMSPC reserves the right to:
Limit trial eligibility;
Limit one trial per person or organization;
Modify or discontinue a trial;
Require valid payment information;
Convert a trial into a paid subscription where clearly disclosed;
Restrict access to certain features during a trial.
At the end of a trial, access may expire or convert to a paid subscription depending on the applicable offer and billing terms.
21. Monthly and Annual Subscriptions
Paid monthly or annual subscriptions renew automatically unless canceled before the next billing period, unless otherwise stated at the time of purchase.
You authorize CMSPC or its payment processor to charge applicable fees to your selected payment method.
You are responsible for maintaining valid payment information.
If payment cannot be processed, CMSPC may suspend or restrict access to paid features.
22. Lifetime Plans
CMSPC may offer plans described as "Lifetime" plans.
Unless otherwise expressly stated at the time of purchase, a Lifetime Plan means continued access to the applicable CMSPC product or plan for the lifetime of the CMSPC product or service, rather than for the lifetime of an individual customer.
A Lifetime Plan does not guarantee:
Permanent availability of CMSPC;
Permanent availability of every historical feature;
Permanent availability of every third-party integration;
Unlimited resources beyond the limits expressly included in the plan;
Unlimited future features;
Lifetime access to third-party services.
CMSPC may modify, replace, or discontinue features as the Services evolve.
Where reasonably possible, CMSPC will seek to maintain substantially comparable functionality for Lifetime Plan customers, subject to technical, legal, commercial, and third-party platform limitations.
23. Fees, Billing, and Taxes
Subscription prices are displayed on the CMSPC website or at the point of purchase.
Unless otherwise stated:
Fees are charged in accordance with the selected billing period;
Fees are generally non-refundable except where required by law or expressly stated otherwise;
Applicable taxes may be added;
You are responsible for taxes associated with your purchase or use of the Services.
CMSPC may change pricing for future subscription periods.
Where required by applicable law, we will provide notice of material pricing changes before they take effect.
24. Cancellation and Refunds
You may cancel a recurring subscription according to the cancellation process provided by CMSPC.
Cancellation generally prevents future renewal but does not automatically entitle you to a refund for the current billing period.
Refund eligibility is determined by the applicable purchase terms, refund policy, promotional terms, and applicable law.
Nothing in this section limits mandatory consumer rights that cannot legally be waived.
25. Service Credits, Usage Limits, and Fair Use
Certain plans may include limits relating to:
AI usage;
Number of posts;
Number of social accounts;
Team members;
Workspaces;
Storage;
Automation;
API usage;
Publishing volume;
Other resources.
CMSPC may enforce reasonable technical limits to protect system stability, prevent abuse, and ensure fair use.
CMSPC may restrict activity that creates an unreasonable load on infrastructure or materially interferes with the Services for other users.
26. Analytics and Performance Data
CMSPC may provide analytics relating to social media publishing and account performance.
Analytics may depend on information supplied by third-party platforms and may therefore be incomplete, delayed, estimated, or unavailable.
CMSPC does not guarantee the accuracy or completeness of third-party analytics.
Analytics should not be interpreted as a guarantee of future marketing, sales, audience, engagement, or financial performance.
27. URL Shortening, Tracking, and Similar Features
CMSPC may provide URL shortening, tracking, or similar functionality.
You are responsible for ensuring that URLs and destination websites used through the Services are lawful and do not contain malicious, deceptive, fraudulent, or prohibited content.
CMSPC may disable links or related functionality when reasonably necessary for security, abuse prevention, or compliance purposes.
28. Service Availability and Technical Limitations
CMSPC will use commercially reasonable efforts to maintain the Services.
However, we do not guarantee that the Services will always be:
Available;
Uninterrupted;
Error-free;
Secure;
Compatible with every device;
Compatible with every third-party service;
Free from delays.
The Services may be temporarily unavailable because of:
Maintenance;
Upgrades;
Infrastructure failures;
Security incidents;
Network problems;
Third-party service failures;
API changes;
Force majeure events;
Other circumstances beyond our reasonable control.
29. Third-Party Services
CMSPC may integrate with or rely upon third-party services, including social networks, AI providers, cloud infrastructure providers, payment processors, analytics providers, email providers, and other technology services.
CMSPC does not control third-party services.
Your use of third-party services may be subject to separate agreements between you and the relevant provider.
CMSPC is not responsible for losses caused by a third-party provider's:
Service interruption;
Policy changes;
API changes;
Pricing changes;
Security incidents;
Account restrictions;
Termination;
Data loss;
Other actions or failures.
30. Security
We implement reasonable technical and organizational safeguards designed to protect the Services and information processed through them.
However, no Internet-based service can guarantee absolute security.
You acknowledge that you use the Services at your own risk and that you are responsible for maintaining the security of your own devices, credentials, API keys, connected accounts, and user access.
31. Account Suspension and Termination
CMSPC may suspend or terminate your account or restrict access to all or part of the Services if:
You materially violate these Terms;
You fail to pay applicable fees;
You engage in fraudulent or abusive activity;
You create security risks;
You misuse automation or API functionality;
You violate applicable law;
You violate third-party platform policies;
Your use creates significant operational risk;
We are required to do so by law;
A third-party platform requires us to restrict access.
Where reasonably practical, CMSPC may provide notice and an opportunity to remedy the violation before termination.
32. Effect of Termination
Upon termination:
Your right to use the Services will end;
Access to paid features may cease;
Connected social media integrations may be disconnected;
Scheduled or automated activities may stop;
Certain data may be retained as required or permitted by law.
You are responsible for exporting any information you wish to retain before terminating your account, unless CMSPC provides another applicable mechanism.
CMSPC may retain information as reasonably necessary for legal compliance, security, fraud prevention, accounting, dispute resolution, backups, and legitimate business purposes.
33. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
CMSPC DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY, EXCEPT TO THE EXTENT THAT SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED.
CMSPC DOES NOT WARRANT THAT:
The Services will meet your specific requirements;
The Services will be uninterrupted;
The Services will be error-free;
AI output will be accurate;
AI output will be unique;
Content will be successfully published;
Social media integrations will remain available;
Your social media accounts will remain unrestricted;
Your content will achieve a particular reach or engagement;
Your marketing campaigns will generate particular results;
Your use of the Services will generate revenue or other business results.
You are responsible for independently reviewing and evaluating content and information generated through CMSPC.
34. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CMSPC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CMSPC'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF:
THE TOTAL AMOUNT YOU PAID TO CMSPC FOR THE SERVICES DURING THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM; OR
ONE HUNDRED U.S. DOLLARS (US$100).
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
35. Indemnification
To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless CMSPC and its affiliates, officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from or relating to:
Your violation of these Terms;
Your User Content;
Your violation of applicable law;
Your use of the Services;
Your connected social media accounts;
Your violation of third-party rights;
Your violation of third-party platform policies;
Your misuse of automation or API functionality.
CMSPC reserves the right to assume control of the defense of any matter subject to indemnification.
36. Privacy
Your use of CMSPC is also governed by our Privacy Policy.
The Privacy Policy explains how CMSPC collects, uses, stores, and processes personal information.
By using the Services, you acknowledge that you have reviewed the Privacy Policy.
37. Confidentiality
Where CMSPC and a business customer exchange confidential information in connection with the Services, each party agrees to use reasonable measures to protect such information.
Confidential information does not include information that:
Is publicly available;
Was already lawfully known;
Is independently developed;
Is lawfully obtained from another source;
Must be disclosed by law.
Enterprise customers may enter into a separate confidentiality or data processing agreement with CMSPC where appropriate.
38. Copyright Complaints and Intellectual Property Claims
If you believe that content available through the Services infringes your intellectual property rights, you may contact CMSPC with information reasonably necessary for us to investigate the claim.
CMSPC may remove or restrict access to allegedly infringing content where appropriate and in accordance with applicable law.
Repeated or serious intellectual property violations may result in account restrictions or termination.
39. Governing Law and Disputes
These Terms will be governed by and interpreted in accordance with the laws applicable to CMSPC's principal place of business, without regard to conflict-of-law principles, unless otherwise required by applicable law.
Any dispute arising out of or relating to these Terms or the Services will be subject to the jurisdiction of the courts having appropriate jurisdiction, unless applicable law requires another dispute-resolution mechanism.
For enterprise customers, a separate written agreement may establish different governing-law or dispute-resolution provisions.
40. Changes to These Terms
CMSPC may update these Terms from time to time.
When material changes are made, CMSPC may provide notice through the Services, by email, or by another reasonable method.
The "Last Updated" date at the beginning of these Terms indicates when the Terms were most recently updated.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
41. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
42. No Waiver
CMSPC's failure to enforce any provision of these Terms does not constitute a waiver of that provision or CMSPC's right to enforce it later.
43. Assignment
You may not assign or transfer these Terms or your rights under these Terms without CMSPC's prior written consent, except where otherwise permitted by applicable law.
CMSPC may assign these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, or similar corporate transaction.
44. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements expressly incorporated into these Terms, constitute the entire agreement between you and CMSPC regarding your use of the Services.
These Terms supersede prior agreements or understandings relating to the same subject matter, except where a separate written agreement expressly governs your use of specific Services.
